Responsibilities:
  • Provides semi-routine legal services support and direction to contract owners and/or contract requestors to ensure complete and accurate submission of contract requests in preparation for legal review in EIMEA.

  • Ensures third party due diligence is submitted to Corporate Legal with contract submission.

  • Provides preliminary review of certain details in contract requests to ensure completeness, identify commercial and/or legal issues and communicate them to contract owners and legal reviewers in EIMEA.

  • Partners with Finance, Sales, Supply Chain, Marketing, Technical Services, and other departments to coordinate adherence to requested commercial terms.

  • Using DocuSign or e-signature software (Adobe Sign), ensures contract signatures comply with GCAP and RCAP and contracts are signed and returned in a timely manner.

  • Assists with maintenance of EIMEA contracts including amendments, renewals, and/or terminations. For legacy contracts to be amended or renewed, work with Legal Director EIMEA to migrate such contracts to WD-40 templates when feasible to reduce company risk and to promote consistency.

  • Maintains EIMEA template library of contracts to be saved on the EIMEA contracts portal and Corporate Legal database, to include alternative clauses or provisions, Non-Disclosure Agreements, Sales Agreements, Manufacturing Agreements, Vendor Agreements, Consulting Agreements, License Agreements, Master Service Agreements and supporting SOWs/Work Orders.

  • Under guidance of Legal Director, updates the Regional Contracts Administration Programs (“RCAPs”) to ensure alignment with company policies and strategies and changing business and/or legal issues

  • Analyzes and suggests ways to simplify and streamline current processes.

  • Responsible for working with contracts owners to produce document comparisons and translations

Qualifications:
  • 1-3 years of experience working within or around Legal contract administration programs.

  • Contract Administration program certificate or paralegal certificate or other legal qualification/ equivalent experience.

  • Required proficiency in spoken and written English. Other European language skills would be beneficial but not mandatory.
